Conversely, factual information depicted within the Videos are information that a reasonable person would consider factual information. For example, a depiction of a food delivery robot ending up in a traffic jam with another food delivery robot built by the same company would be intended as and perceived by a reasonable person as a comedic, satirical, or parodic event versus a factual representation of the effectiveness of the company’s food delivery robots, while a statement that a specific stock and stock price is a specific price at a specific time on a specifically and clearly stated day would be intended as and perceived by a reasonable person as factual. Stock Bull and its creators use best efforts to specify when a statement is factual versus fictional. Viewers of the Videos should perform their own due-diligence and research on companies referenced in the Videos to verify for themselves and discern what the facts associated with any referenced company are in real life. Microcap and OTC companies often have lower trading volumes compared to larger companies, which means fewer shares are being bought and sold on a daily basis. Because of that, their stocks can be more volatile and sometimes harder to trade quickly without impacting the price. Microcap stocks can be traded in the Over-The-Counter (OTC) markets. OTC stocks are often associated with what is known as the pink sheets or pink slips market. These are platforms where smaller, often less-regulated, and lower-priced stocks, including many microcaps, are traded. These microcap companies might not all meet the listing requirements of the major exchanges, so they trade “over the counter.” Many microcap stocks trade over the counter. With microcap or OTC stocks, especially those with very low or no trading volume, you can have trading and market liquidity issues and risks. That means if nobody is buying or selling that stock at the time you want to sell, you might be stuck holding onto that stock longer than you would prefer, and/or you may have to sell that stock at a much lower price than you would prefer. These are risks to be aware of with less liquid, smaller stocks some of which can be microcap or OTC stocks. Some of the microcap or OTC stocks can be extremely illiquid, meaning there is little to no trading activity. Microcap and OTC companies often have lower trading volumes compared to larger companies, which means fewer shares are being bought and sold on a daily basis. Because of that, their stocks can be more volatile and sometimes harder to trade quickly without impacting the price. Microcap stocks can be traded in the Over-The-Counter (OTC) markets. OTC stocks are often associated with what is known as the pink sheets or pink slips market. These are platforms where smaller, often less-regulated, and lower-priced stocks, including many microcaps, are traded. These microcap companies might not all meet the listing requirements of the major exchanges, so they trade “over the counter.” Many microcap stocks trade over the counter. With microcap or OTC stocks, especially those with very low or no trading volume, you can have trading and market liquidity issues and risks. That means if nobody is buying or selling that stock at the time you want to sell, you might be stuck holding onto that stock longer than you would prefer, and/or you may have to sell that stock at a much lower price than you would prefer. STOCK BULL DOES NOT WARRANT THAT THE STUFF WILL BE ERROR-FREE, THAT ERRORS OR DEFECTS WILL BE CORRECTED, OR THAT THE CHANNEL OR THE VIDEOS OR THE STUFF HAVE TIMELY INFORMATION, OR THAT INFORMATION WILL BE UPDATED OR CORRECTED AT A LATER DATE, OR THAT THE STUFF DOES NOT VIOLATE ANY PATENT OR OTHER INTELLECTUAL PROPERTY RIGHTS OF ANY PERSON OR ENTITY. IN ACCORDANCE WITH APPLICABLE LAW, STOCK BULL DOES NOT MAKE ANY REPRESENTATIONS, CERTIFICATIONS, WARRANTS, OR GUARANTEES REGARDING THE RESULTS OF THE USE, OR THE USE OF THE CHANNEL OR THE VIDEOS OR THE STUFF IN TERMS OF THEIR ACCURACY, RELIABILITY, TIMELYNESS, CORRECTNESS, OR OTHERWISE. YOU (AND NOT STOCK BULL) ASSUME THE ENTIRE COST OF ALL NECESSARY CORRECTIONS, REPAIRS, UPDATES, OR SERVICING THAT MAY OR MAY NOT RESULT FROM YOUR USE OR OUR DISTRIBUTION OF THE STUFF. You may not email, post, blog, transmit, vlog, distribute, input, upload, or otherwise make available any content through the Stuff that: (i) is promotional in nature, without the prior written authorization of Stock Bull and his rottweiler, or consists of or is recognized by a reasonable person or law enforcement as spam, a chain letter, fraud, a pyramid or similar fraudulent scheme or plot; (ii) is threatening, abusive, defamatory, unlawful, harmful, vulgar, harassing, obscene, libelous, hateful, invasive of another’s privacy, tortious, or ethnically, racially or otherwise objectionable or related to a hate crime; (iii) you do not have the right to make available under any contractual or fiduciary relationships, or law (such as inside information, confidential, proprietary, or Trade Secret information learned or disclosed that is protected under active or inactive non-disclosure agreements that you still have obligations under, or as part of employment agreements, relationships, or non-compete agreements that you still have obligations under); (iv) contains computer code, programs, files or software viruses designed to interrupt, destroy or limit the functionality of any computer hardware or software, or telecommunications equipment; (v) infringes any Trade Secret, copyright, patent, trademark, invention, or other proprietary rights of any third party; (vi) constitutes the personally identifiable information of any other person that such person has not authorized you to disclose; or (vii) is harmful to minors. You may not use any of the trade names, copyrights, trademarks, logos, or service marks of Stock Bull in any manner which creates the impression that such items belong to or are associated with you or are used with Stock Bull’s permission, and you acknowledge that you have no ownership rights to or in any of such items. You acquire no rights or licenses in or to the Stuff and materials contained within the Stuff other than the limited right to utilize the Stuff in accordance with the T&C. If you submit material user-generated content, ideas, or information (“Your Stuff”) to the Channel or the Videos, Your Stuff will be treated as non-proprietary and non-confidential and by doing so you grant to Stock Bull a nonexclusive, irrevocable, fully paid, perpetual, royalty-free, sublicensable and transferable (in whole or in part) worldwide right and license in any and all of Your Stuff. YOU REPRESENT, COVENANT AND WARRANT TO STOCK BULL THAT NONE OF YOU OR ANY PERSON WHO ACTS AT YOUR DIRECTION OR ON YOUR BEHALF SHALL USE (OR ENABLE OTHERS TO USE) THE CHANNEL, THE VIDEOS, OR THE STUFF OR ANYTHING CREATED USING THE CHANNEL, THE VIDEOS, OR THE STUFF IN CONNECTION WITH ACTIVITIES RELATING TO INSIDER TRADING. You warrant, represent, and covenant that you have the power and authority to enter into these T&C and you are at least eighteen (18) years old. You agree, at your own expense, to indemnify, defend and hold harmless Stock Bull, its creators, owners, contractors, suppliers, subcontractors, officers, agents, directors, employees, rottweilers, representatives, minotaurs, successors and assigns from and against any and all claims, damages, losses, costs, liabilities, and expenses, including reasonable attorneys’ and experts’ fees, arising out of or in connection with the Stuff, the Videos, the Channel, or any links on the Stuff, Videos, or the Channel, including, but not limited to your use or someone using your computer’s use of the Stuff, Videos, or the Channel, use by someone using your account, any violation of the T&C by you or anyone using your computer (or account, where applicable), any claim that any use of the Stuff, Videos, or the Channel by you or someone using your computer (or account, where applicable) infringes any intellectual property right of any third party, or any right of publicity or privacy, is defamatory or libelous, or otherwise results in losses, damages, injury, or liabilities to any third party, any additions, alterations, insertions or deletions to, or any unauthorized use of the Stuff, Videos, or the Channel by you or someone using your computer (or account, where applicable), any breach of representation or misrepresentation of and warranty made by you contained herein, any breach of any covenant or agreement to be performed by you hereunder. You agree to pay for any and all losses, liabilities, expenses, or damages of any kind, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by or in connection with or arising from any such lawsuit, action, claim, or proceeding attributable to any such claim. Stock Bull reserves the right to assume the exclusive defense and control, at its own expense, of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Stock Bull in asserting any available defense. You acknowledge and agree to pay Stock Bull’s reasonable attorneys’ fees incurred in connection with any and all lawsuits brought against you by Stock Bull under the T&C and any other terms and conditions of the Channel, the Videos, or the Stuff, including without limitation, lawsuits arising from your failure to indemnify Stock Bull pursuant to the T&C. You may terminate these T&C, at any time, with or without cause by discontinuing your use of the Stuff, by discontinuing your use of the Channel and by discontinuing your viewing or listening of the Videos, or engaging with the Channel in any other way, and destroying all materials obtained from the Channel, Videos, and the Stuff. You agree that, without notice, Stock Bull may terminate the T&C, or suspend your access to the Videos, the Channel, live streams associated with the Channel, or the Stuff, with or without cause at any time with immediate effectiveness. In such scenario, the T&C will terminate immediately without any notice to you from Stock Bull if you, in Stock Bull’s sole discretion, fail to comply with any provision of the T&C. Stock Bull shall not be liable to you or any third party for the termination or suspension of the Channel, the Videos, or the Stuff, or any claims related to the termination or suspension of the Channel, the Videos, or the Stuff. Upon termination of the T&C by either party to these T&C, you must discontinue your use of the Channel, the Videos, or the Stuff and destroy promptly all materials obtained from the Channel, the Videos, or the Stuff and any copies thereof. Stock Bull will determine your compliance with the T&C in its sole discretion and its decision shall be binding and final and not subject to challenge or appeal. Any violation of the T&C may result in restrictions on your access to all or part of the Channel, the Videos, or the Stuff and may be referred to YouTube, and/or law enforcement authorities. No waiver of or changes to any part of the T&C shall be of any force or effect unless formally posted or made in writing and signed by a duly authorized officer, owner, or creator of Stock Bull. If the length, complexity, and completeness of these T&Cs do not convince you of the serious intent (despite the humor included) of Stock Bull in enforcing its rights and your obligations under these T&C’s, you are hereby advised that Stock Bull will aggressively enforce its rights under the law and these T&Cs to the fullest extent of the law. The T&C shall be governed and construed in accordance with the laws of the United States and the State of Delaware, without giving effect to conflicts of law principles thereof. With respect to any disputes or claims, you agree to submit to the personal jurisdiction of the state and federal courts located in New Castle County in the State of Delaware with respect to any legal proceedings that may arise in connection with the Channel, the Videos, the Stuff or from a dispute as to the interpretation or breach of the T&C. The failure of Stock Bull to enforce or exercise or any provision or right of the T&C shall not constitute a waiver of such provision or right. If any provision of the T&C is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of the T&C will remain in full force and effect. The obligations under the paragraphs pertaining to definitions, records, warranty, infringement indemnity, limitations of liability, intellectual property, termination effect, governing law, and others which by their nature are intended to survive, shall survive any termination or expiration of these T&C. The T&C and any other terms and conditions of the Stuff, the Channel or the Videos, and its successor, constitute the entire agreement between you and Stock Bull, govern your use of the Stuff, the Channel, or the Videos, and supersede all prior written or oral agreements between the you and Stock Bull with respect to the subject matter of these T&C.
